1. Agreement to these terms
These Terms of Service (the “Terms”) form a binding agreement between you and Edusodes (“Edusodes”, “we”, “us” or “our”) and govern your access to and use of the Edusodes website at edusodes.com, the Edusodes web application and all related services (together, the “Service”).
By creating an account, starting a subscription or otherwise using the Service, you confirm that you have read, understood and agree to these Terms, our Privacy Policy, our Cookie Policy and our Acceptable Use Policy, which form part of these Terms. If you do not agree, do not use the Service.
If you use the Service on behalf of an organization, you confirm that you are authorized to accept these Terms on its behalf, and “you” refers to both you and that organization.
2. The Service
Edusodes is an educational platform that organizes learning into series (also called seasons) of short episodes. Each episode contains a lesson, a worked example, key takeaways and a graded quiz. The Service includes:
- Custom series, produced on request from a topic, goal and level that you provide;
- Catalog series, prepared by Edusodes and available to every account;
- progress tracking, quiz grading, streaks and a release schedule that controls when episodes become available.
We continually improve the Service and may add, change or remove features. If we make a change that materially reduces the functionality of a paid plan during your billing period, we will tell you in advance where reasonably possible.
3. Eligibility
You must be at least 13 years old to use the Service. If you live in a country where a higher minimum age applies to online services, such as 16 in some countries of the European Economic Area, you must meet that age. If you are under the age of majority where you live, you may use the Service only with the involvement and consent of a parent or legal guardian, who agrees to these Terms on your behalf.
You may not use the Service if you are barred from doing so under the laws that apply to you.
4. Your account
To use most of the Service you need an account. When you create one, you agree to:
- provide accurate information and keep it up to date;
- keep your password confidential and not share your account with anyone else;
- notify us promptly at security@edusodes.com if you suspect unauthorized use of your account.
You are responsible for all activity that occurs under your account. Accounts are personal: each account is for one individual learner.
5. Plans, subscriptions and payment
Plans
The Service is offered on a free Starter plan and a paid Professional plan, and may be offered to organizations on a Teams plan under a separate order form. The features and limits of each plan are described on our pricing page.
Billing and automatic renewal
Professional is a subscription billed in advance on a recurring monthly basis. Your subscription renews automatically at the end of each billing period and you authorize us, through our payment processor, to charge the payment method on file for each renewal until you cancel. Prices are shown in US dollars and exclude applicable taxes, which are added where required.
Payments are processed by Stripe. Edusodes does not receive or store your full card details. Your use of Stripe is also subject to Stripe’s own terms.
Cancellation
You can cancel at any time from Settings and plan in your account. Cancellation takes effect at the end of the current billing period; you keep Professional features until then, and your account then returns to the Starter plan. Your series and progress are not deleted when you cancel.
Refunds
Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial billing periods or unused features. If you believe you were charged in error, contact support@edusodes.com within 60 days of the charge and we will review it.
Right of withdrawal (EEA, UK and Switzerland)
If you are a consumer in the European Economic Area, the United Kingdom or Switzerland, you may withdraw from a new Professional subscription within 14 days of purchase by emailing support@edusodes.com. We will refund the payment within 14 days of receiving your request. If you used Professional features during that period, we may deduct an amount proportionate to the service provided before you withdrew, as permitted by law.
Price changes
We may change subscription prices. We will give you at least 30 days’ notice by email before a price change applies to you, and the new price will take effect at the start of your next billing period. If you do not agree, you can cancel before the change takes effect.
Failed payments
If a renewal payment fails, we may retry the charge and, if it remains unpaid, move your account to the Starter plan.
6. AI-produced content
Custom series and some catalog episodes are produced with the help of artificial intelligence. Edusodes uses third-party AI models, currently provided by Anthropic, to plan seasons and write episodes based on the topic, goal and level you provide.
You acknowledge that:
- AI-produced content can be inaccurate, incomplete or out of date, even when written to our editorial standards, and you are responsible for evaluating it before relying on it;
- similar requests may produce similar or identical content for other users;
- we may decline to produce content on topics that would be unsafe or unlawful to teach, and we may stop producing a series that breaches our Acceptable Use Policy.
If you find an error in an episode, please tell us at support@edusodes.com so we can improve it.
7. Your content and the content we provide
Your inputs
You keep any rights you have in the topics, goals and other information you submit (“Your Inputs”). You grant Edusodes a worldwide, non-exclusive, royalty-free license to host, process, transmit and use Your Inputs, including by sending them to our service providers, solely to operate, secure and improve the Service and to produce your series. You confirm that you have the rights needed to submit Your Inputs and that they do not infringe anyone else’s rights.
Episodes produced for you
As between you and Edusodes, and to the extent permitted by law, we grant you a worldwide, non-exclusive, non-transferable license to access, read, download and print the episodes produced for your custom series for your own personal learning, including sharing short excerpts with attribution. You may not sell, sublicense or commercially republish episodes, or use them to build a competing product.
Catalog and platform
The Service, including the catalog series, software, design, text, graphics, trademarks and logos, is owned by or licensed to Edusodes and protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are transferred to you. Photography on our website is used under the Unsplash License.
Feedback
If you send us suggestions or feedback, you agree that we may use them without restriction or obligation to you.
8. Acceptable use
You must use the Service in accordance with our Acceptable Use Policy. In particular, you must not misuse the Service, interfere with its operation, attempt to access it other than through the interfaces we provide, or use it to request or produce content that is unlawful, harmful or infringes the rights of others.
9. Third-party services
The Service relies on third-party providers, including our hosting providers, Stripe for payments and Anthropic for AI models. The Service may also contain links to third-party websites. We are not responsible for third-party websites or services that we do not control, and your use of them may be subject to their own terms and policies.
10. Suspension and termination
You may stop using the Service at any time and may ask us to delete your account by emailing privacy@edusodes.com. If you have an active subscription, cancel it first to avoid further charges.
We may suspend or terminate your access to the Service, with notice where reasonably practicable, if you materially or repeatedly breach these Terms, if required by law, or if your use creates a risk of harm to the Service, other users or third parties. If we terminate a paid subscription for reasons other than your breach, we will refund any prepaid fees for the remaining period.
Sections that by their nature should survive termination, including those on content licenses, disclaimers, limitation of liability, indemnity and governing law, will survive.
11. Disclaimers
To the fullest extent permitted by law, the Service is provided “as is” and “as available”. Edusodes disclaims all warranties, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or secure, that content will be accurate or complete, or that use of the Service will achieve any particular learning or professional outcome.
Nothing in these Terms limits any warranty or right that cannot be excluded under the consumer protection laws that apply to you.
12. Limitation of liability
To the fullest extent permitted by law:
- Edusodes will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill or opportunity, arising out of or in connection with the Service or these Terms;
- Edusodes’ total aggregate liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of (i) the amounts you paid to Edusodes in the twelve months before the event giving rise to the claim and (ii) US $100.
These limitations do not apply to liability that cannot be limited or excluded by law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation. If you are a consumer in the EEA or UK, we are responsible for foreseeable loss or damage caused by our breach of these Terms or our failure to use reasonable care and skill.
13. Indemnity
If you use the Service for business purposes, you agree to defend and indemnify Edusodes against any third-party claims, losses and reasonable expenses arising from Your Inputs or your breach of these Terms. This section does not apply to consumers where such indemnities are not permitted by law.
14. Changes to these Terms
We may update these Terms from time to time, for example to reflect changes to the Service or the law. We will post the updated Terms on this page and update the effective date. If a change is material, we will give you at least 30 days’ notice by email or in the Service before it takes effect. If you continue to use the Service after the changes take effect, you accept the updated Terms; if you do not agree, you may stop using the Service and cancel your subscription.
15. Governing law and disputes
These Terms and any dispute arising out of or in connection with them are governed by the laws of the jurisdiction in which Edusodes is established, without regard to its conflict-of-law rules, and the courts of that jurisdiction have exclusive jurisdiction, except that we may seek injunctive relief in any court of competent jurisdiction.
If you are a consumer, you also benefit from any mandatory protections of the law of the country where you live, and you may bring proceedings in the courts of that country. Before starting proceedings, please contact us at legal@edusodes.com so we can try to resolve the issue informally.
16. General
- Entire agreement. These Terms and the policies they reference are the entire agreement between you and Edusodes regarding the Service. A separate signed order form for a Teams plan prevails over these Terms where they conflict.
- Assignment. You may not transfer your rights under these Terms without our consent. We may transfer ours as part of a merger, acquisition or sale of assets, provided your rights are not reduced.
- Severability. If any provision is held unenforceable, the rest of these Terms remain in effect.
- No waiver. A failure to enforce a provision is not a waiver of our right to do so later.
- Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
- Notices. We may send notices to the email address on your account. You may send notices to legal@edusodes.com.
17. Contact
Questions about these Terms can be sent to legal@edusodes.com. For help with your account, contact support@edusodes.com.
